Terms & Conditions
Last Updated: September 15, 2026
Welcome to Vertex Ecom Services. These Terms & Conditions (“Terms”) govern your access to and use of our website and services.
By accessing our website, submitting an enquiry, purchasing a service, or engaging our services, you acknowledge that you have read, understood, and agreed to these Terms.
1. About Our Services
Vertex Ecom Services provides digital and e-commerce related services, which may include website development, digital marketing, SEO, AEO/GEO optimization, content creation, social media marketing, online advertising, and other related services.
The exact scope of services will depend on the package, proposal, quotation, service agreement, or written communication agreed upon between Vertex Ecom Services and the client.
2. Client Information and Responsibilities
To enable us to provide our services effectively, you agree to provide accurate, complete, and timely information, materials, access credentials, approvals, and other resources reasonably required for the project.
You are responsible for ensuring that all information, images, logos, documents, content, trademarks, and other materials supplied by you are accurate and that you have the necessary rights and permissions to use them.
Delays caused by incomplete information, delayed approvals, unavailable access, or failure to provide required materials may affect project timelines.
3. Service Scope and Deliverables
The services and deliverables will be based on the agreed proposal, quotation, package, or service agreement.
Any additional work, revisions, features, integrations, pages, campaigns, or services outside the agreed scope may be subject to additional charges.
We reserve the right to clarify or modify project requirements where reasonably necessary to deliver the agreed objectives.
4. Payments and Fees
Service fees, payment schedules, taxes, and other applicable charges will be communicated before or during engagement.
Where an advance payment is required, work may begin only after the required payment has been received.
Unless otherwise agreed in writing, payments for completed work or delivered services are due according to the agreed payment terms.
Any bank, payment gateway, transaction, tax, or third-party charges applicable to the transaction may be payable by the client where applicable.
5. Refunds and Cancellation
Refund eligibility, cancellation terms, and applicable notice requirements will depend on the service purchased and the written agreement between the parties.
Because certain digital services involve time, resources, third-party costs, creative work, advertising expenditure, development, or work already performed, payments may be non-refundable once the relevant work or service has commenced, except where otherwise agreed in writing or required by applicable law.
Third-party advertising spend, platform fees, hosting charges, domain charges, software subscriptions, and similar external costs are generally non-refundable where they have already been incurred.
6. Project Timelines
We will make reasonable efforts to complete projects and deliver services within the estimated timelines communicated to the client.
Estimated timelines may change due to revisions, client delays, technical issues, third-party dependencies, platform restrictions, force majeure events, or changes in project requirements.
A timeline provided by us should not be treated as a guaranteed completion date unless expressly agreed in writing.
7. Revisions and Approvals
The number of revisions included in a service will depend on the applicable package or agreement.
Client feedback and approvals should be provided within a reasonable period. Delayed feedback or repeated changes beyond the agreed scope may result in additional charges or extension of the delivery timeline.
Once a deliverable has been approved, subsequent changes may be treated as additional work.
8. Digital Advertising and Marketing Disclaimer
Where we provide digital advertising, SEO, social media marketing, or related services, we use reasonable professional efforts to improve performance and achieve agreed objectives.
However, we do not guarantee specific results such as a fixed number of leads, sales, website visitors, followers, rankings, conversions, revenue, or return on advertising spend.
Marketing performance may be affected by factors outside our control, including market conditions, competition, customer behavior, advertising platform algorithms, policy changes, budgets, website performance, seasonality, and third-party platform decisions.
Advertising budgets paid to third-party platforms are separate from our professional service fees unless expressly stated otherwise.
9. SEO and Search Engine Disclaimer
Search engine rankings, visibility, traffic, and indexing are influenced by numerous factors beyond our direct control.
We do not guarantee a particular ranking position, traffic level, indexing status, featured placement, AI search visibility, or specific business outcome.
SEO results may take time and can change due to search engine algorithm updates, competition, technical factors, and other external circumstances.
10. Intellectual Property
Unless otherwise stated in writing:
- Materials, designs, content, code, strategies, documents, templates, and other work created specifically for a client may be transferred to the client according to the agreed payment and ownership terms.
- Pre-existing materials, proprietary tools, templates, methodologies, systems, know-how, frameworks, and reusable components belonging to Vertex Ecom Services remain our property.
- Third-party assets, software, fonts, plugins, stock images, APIs, platforms, and other licensed materials remain subject to their respective licenses and terms.
The client must not reproduce, resell, redistribute, or commercially exploit our proprietary materials or systems except as expressly permitted in writing.
11. Third-Party Platforms
Our services may involve third-party platforms such as Google, Meta, hosting providers, payment gateways, social media platforms, analytics providers, plugins, software services, or other external systems.
We are not responsible for service interruptions, policy changes, account suspensions, algorithm changes, technical failures, security incidents, pricing changes, or other actions taken by third-party providers.
Clients remain responsible for complying with the applicable terms and policies of third-party platforms used for their business.
12. Website and Content Responsibility
Clients are responsible for the legality, accuracy, ownership, and compliance of content, products, services, claims, offers, pricing, and information supplied for publication or advertising.
We may refuse to publish, promote, or process content that we reasonably believe violates applicable law, third-party rights, platform policies, or ethical standards.
13. Confidentiality
Both parties agree to treat confidential business, technical, financial, strategic, and other non-public information received from the other party as confidential and not disclose it except where required by law or reasonably necessary to perform the agreed services.
This obligation does not apply to information that is already publicly available, independently obtained, or lawfully received from another source without a confidentiality obligation.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Vertex Ecom Services shall not be liable for indirect, incidental, special, consequential, or business losses arising from the use of our website or services, including loss of profits, sales, data, opportunities, goodwill, or anticipated savings.
Our total liability in relation to a specific service or engagement shall, where legally permitted, be limited to the amount actually paid by the client to Vertex Ecom Services for that specific service during the applicable period.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
15. Indemnification
You agree to indemnify and hold harmless Vertex Ecom Services, its team members, contractors, and representatives from claims, losses, liabilities, damages, expenses, or legal costs arising from:
- Your breach of these Terms
- Your unlawful use of our services
- Content or materials supplied by you
- Your violation of third-party rights
- Your violation of applicable laws or platform policies
16. Suspension or Termination
We may suspend or terminate services where a client:
- Fails to make required payments
- Provides misleading or unlawful information
- Repeatedly fails to cooperate with project requirements
- Requests work that violates applicable laws or third-party platform policies
- Engages in abusive, fraudulent, threatening, or otherwise inappropriate conduct
Upon termination, the client remains responsible for amounts properly due for work or services already performed and approved third-party costs already incurred.
17. Force Majeure
We shall not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, internet or infrastructure failures, cyber incidents, government actions, platform outages, third-party service failures, strikes, public emergencies, or other unforeseeable events.
18. Website Use
You agree not to misuse our website, attempt unauthorized access, introduce malicious code, interfere with website functionality, scrape or copy protected content without permission, or use the website for unlawful purposes.
We reserve the right to restrict or terminate access where misuse is suspected.
19. Governing Law and Jurisdiction
These Terms shall be governed by the laws applicable in India.
Subject to applicable law and any written agreement between the parties, disputes arising from these Terms or our services shall be subject to the jurisdiction of the appropriate courts having jurisdiction over the applicable location of Vertex Ecom Services.
20. Changes to These Terms
We may update these Terms & Conditions from time to time. Changes will be posted on this page along with an updated “Last Updated” date.
Your continued use of our website or services after changes are published constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
